Constitution of the World Association of Young Scientists


Chapter I General Provisions

Article 1 The World Association of Young Scientists is an international, non-profit social organization voluntarily formed by international and regional youth scientific and technological organizations, institutions of higher learning, and professional research institutions.

The Association is abbreviated as WAYS, which stands for the World Association of Young Scientists.

Article 2 The purpose of WAYS is to build a platform for exchange and mutual learning among young scientists from around the world, to forge consensus on "technology for good," to promote sustainable development through scientific and technological innovation, and to contribute the wisdom and strength of young scientists to achieving the United Nations Sustainable Development Goals and building a community with a shared future for mankind.

Article 3 The registered address of WAYS is located in Beijing, China.

Article 4 WAYS abides by the laws and regulations of China and other countries or regions where it operates, and respects local customs and practices.

Chapter II Scope of Activities

Article 5 WAYS shall carry out the following activities in the field of science and technology innovation for sustainable development:

(1) To organize activities such as the World Young Scientist Summit and exchange visits among international young scientists in accordance with regulations, and to establish a platform for communication and cooperation among young scientists worldwide;

(2) To support young scientists in their exploration and research on science and technology innovation for sustainable development;

(3) To conduct promotional and popularization activities related to science and technology innovation for sustainable development;

(4) To facilitate exchange activities with scientific and technological organizations domestically and internationally;

(5) To engage in other activities that promote exchange and cooperation among young scientists.

Activities within the scope of business that are subject to approval under applicable laws, regulations, or other legal provisions shall only be conducted after obtaining the requisite approvals.

Chapter III Membership

Article 6 Membership in WAYS is open to both individuals and organizations.

Article 7 WAYS shall actively recruit members across relevant fields, with foreign members accounting for, in principle, at least one-third of the total membership.

Organizations and individuals that comply with this Constitution and meet the following requirements may apply for membership:

Individual Members:

(1) Have full capacity for civil conduct;

(2) Engage in professions or businesses related to WAYS's scope of activities;

(3) Have a recognized standing in their respective fields.

Organizational Members:

(1) Be legally established in their country or region of residence;

(2) Operate within areas related to WAYS's scope of activities;

(3) Have a recognized standing in their respective fields.

Article 8 The membership admission process shall be as follows:

(1) Submission of a membership application;

(2) Approval by the Standing Council through deliberation;

(3) Issuance of a membership certificate by the Standing Council and public announcement of admission.

Article 9 Members are entitled to the following rights:

(1) The rights to vote, to stand for election, and to make decisions;

(2) The rights to be informed, to advise, and to oversee the work of WAYS;

(3) Priority access to WAYS's activities and services;

(4) The freedom to withdraw from membership.

Article 10 Members shall fulfill the following obligations:

(1) To comply with the Constitution and all regulations of WAYS;

(2) To implement the resolutions of WAYS;

(3) To safeguard the lawful rights and interests of WAYS;

(4) To complete tasks assigned by WAYS;

(5) To pay membership dues in accordance with WAYS's regulations;

(6) To report relevant information and provide pertinent materials to WAYS;

(7) Not to disclose any confidential information of WAYS, except as otherwise provided by laws and regulations.

Article 11 WAYS may, by vote of the Council or Standing Council, impose the following sanctions on members who violate laws, regulations, or this Constitution:

(1) Warning;

(2) Suspension of membership rights;

(3) Expulsion from membership.

Article 12 Members wishing to withdraw must provide written notice to WAYS.

Article 13 A member shall lose its membership upon confirmation by the Standing Council in any of the following circumstances:

(1) The member no longer meets the membership requirements;

(2) The member fails to participate in WAYS's activities as required for one year;

(3) The member fails to pay membership dues as required for one year.

Article 14 Upon withdrawal, expulsion, or confirmation of membership loss under Article 13, such decision shall be announced to the entire membership, and the member's respective positions, rights, and obligations within WAYS shall thereupon terminate.

Chapter IV Organizational Structure

Section 1 General Assembly of Member Representatives

Article 15 The General Assembly of Member Representatives, as the supreme governing body of WAYS, shall have the following functions and powers:

(1) Formulate and amend the Constitution;

(2) Decide on significant matters of WAYS such as work objectives and development plans;

(3) Formulate and amend the measures for appointing Council members, Standing Council members, officers, supervisors and member representatives, of which the measures for appointing officers shall be filed with the Supervisory Authority;

(4) Elect and remove Council members and supervisors;

(5) Establish and amend membership fees;

(6) Review the work reports and financial reports of the Council;

(7) Review on the work reports of the Board of Supervisors;

(8) Decide on name changes;

(9) Decide on dissolution matters;

(10) Decide on other significant matters.

Article 16 The General Assembly of Member Representatives shall serve a term of five years and convene at least once per term. If an early or delayed term change is required due to exceptional circumstances, it shall be approved by more than 2/3 of the Council members and submitted to the Supervisory Authority for review. In the event of an early or postponed term change, in no case shall the term be extended or reduced by more than one year.

To convene the General Assembly of Member Representatives, member representatives shall be notified of the agenda 30 days in advance.

The General Assembly of Member Representatives for the election may be held in person, or in a combination of in-person and video conference. The General Assembly of Member Representatives for other matters may be held in person, by correspondence, or in a combination of in-person and correspondence. If voting is conducted with a communication method other than video, the voting method shall be stated in the notice, along with the deadline for voting.

Article 17 An extraordinary General Assembly of Member Representatives shall be convened upon proposal of the Council or more than 1/5 of the member representatives of WAYS.

The extraordinary General Assembly of Member Representatives is convened and presided over by the Chairperson. If the Chairperson cannot convene and preside over the extraordinary General Assembly of Member Representatives, it shall be convened and presided over by one Vice-Chairperson responsible for daily work; if the Vice-Chairperson cannot convene and preside over the extraordinary General Assembly of Member Representatives, it shall be convened and presided over by one officer of WAYS elected by the Council.

Article 18 The General Assembly of Member Representatives can only be convened if at least 2/3 of the member representatives are present, and its resolutions are effective only if the following conditions are met:

(1) The formulation and amendment of the constitutions shall be approved by more than 2/3 of the votes of the member representatives present;

(2) The name change or dissolution of WAYS shall be approved by more than 2/3 of the votes of the member representatives present;

(3) Council members and supervisors are elected based on the number of votes received, but the number of votes received by the elected candidate shall not be less than 1/2 of the votes of the member representatives present;

(4) The removal of Council members and supervisors shall be approved by more than 1/2 of the votes of the member representatives present;

(5) The formulation or amendment of membership fees shall be approved by more than 1/2 of the votes of the member representatives through a secret ballot;

(6) Other resolutions shall be approved by more than 1/2 of the votes of the member representatives present.

Section 2 Council

Article 19 The Council is the executive body of the General Assembly of Member Representatives and its members are elected by the General Assembly of Member Representatives from member representatives. It directs the daily work of WAYS when the General Assembly of Member Representatives is not in session, and is accountable to the General Assembly of Member Representatives.

The number of Council members shall generally not exceed 1/3 of the member representatives.

Council members do not receive remuneration from WAYS, except for those who are employees of WAYS and have signed employment contracts with it.

Article 20 Council members of WAYS shall meet the following conditions:

(1) Abide by the Constitution of WAYS, recognize its purpose, and actively fulfill their duties as Council members;

(2) Be representative and influential in relevant fields, and able to reflect diversity in terms of discipline, geography, gender, age, and other dimensions;

(3) Have a good social reputation, uphold professional ethics, and be able to dedicate the necessary time and effort to support the activities of WAYS.

Article 21 Election and removal of Council members:

(1) The first Council members shall be nominated through discussions between the initiators and the members at the time of establishment application, and elected by the General Assembly of Member Representatives upon approval of the Supervisory Authority;

(2) For the election of the new Council, the incumbent Council shall, three months prior to the convening of the General Assembly of Member Representatives, initiate the nomination process and establish a Council Election Committee composed of officer representatives, Council member representatives, supervisor representatives, and member representatives, responsible for carrying out the specific election tasks under the leadership of the incumbent Council;

The Council Election Committee is responsible for drafting the election plan, deliberating on the nominations for Council members and officers, and submitting them to the Supervisory Authority for review two months before the convening of the General Assembly of Member Representatives; in case of mid-term adjustments to the leadership, the proposed candidate(s) for the position(s) shall be submitted to the Supervisory Authority for review and approval before a meeting for their election may be convened;

In accordance with the Constitution, the General Assembly of Member Representatives shall be convened to elect and remove Council members.

(3) When the General Assembly of Member Representatives is not in session, if it is necessary to supplement or remove some Standing Council members, it may be submitted to the Council for review, and the number of Standing Council members supplemented or removed during the term shall not exceed 1/5 of the total number of original Standing Council members.

Article 22 Council members shall appoint representatives to perform their duties as Council members. If a Council member adjusts its representative, it shall notify WAYS in writing. If the Council member is also a Standing Council member, its representative shall be adjusted as well.

Article 23 The rights of Council members include:

(1) The right to vote, the right to be elected, and the right to vote in the Council;

(2) The right to know, the right to make suggestions on, and the right to supervise, the work, financial situation, and significant matters of WAYS;

(3) The right to participate in the formulation of important internal management regulations and provide opinions and suggestions;

(4) The right to propose the convening of an extraordinary meeting to the Chairperson or the Council.

Article 24 Council members shall abide by laws, regulations and the Constitution, faithfully and diligently perform their duties, and fulfill the following obligations:

(1) Attend meetings of the Council and execute resolutions of the Council;

(2) Exercise the legally granted functions and powers with caution, seriousness, and diligence, and in performing their duties, act in the best interests of WAYS and exercise the reasonable care typically expected of a Council member;

(3) Not exercise functions and powers beyond the scope of duties;

(4) Not use Council member's functions and powers to seek improper benefits;

(5) Not engage in activities that harm the legitimate interests of WAYS;

(6) Not disclose confidential information related to WAYS obtained during the term of office, unless otherwise provided by laws and regulations;

(7) Accept the legal supervision and reasonable suggestions from the Board of Supervisors regarding the performance of duties.

Article 25 The functions and powers of the Council include:

(1) Executing the resolutions of the General Assembly of Member Representatives;

(2) Electing and removing Standing Council members;

(3) Electing and removing officers, and reviewing the changes in the legal representative;

(4) Reporting on work progress and financial status to the General Assembly of Member Representatives;

(5) Reviewing the annual work report, work plan, financial budget, and financial final accounts;

(6) Preparing for the convening of the General Assembly of Member Representatives and being responsible for the election;

(7) Formulating important internal management regulations;

(8) Determining the establishment, modification, or dissolution of branches, representative offices, executive bodies and other affiliated institutions, and directing the work of affiliated institutions;

(9) Determining candidates for honorary positions;

(10) Determining the appointment of the Vice Secretaries-General and heads of affiliated institutions;

(11) Determining the assessment measures and remuneration management measures for personnel of WAYS;

(12) Reviewing the changes in activity funding;

(13) Reviewing matters such as changes of address that do not involve amendments to the Constitution;

(14) Proposing a motion for the dissolution of WAYS;

(15) Deciding on other significant matters.

Article 26 The term of office of the Council is five years, and its election shall coincide with the term change of the General Assembly of Member Representatives.

If an early or delayed term change is required due to exceptional circumstances, it shall be approved by more than 2/3 of the Council members, submitted to the Supervisory Authority for review and approval, and then reported to the Registration Authority in writing. In the event of an early or postponed term change, in no case shall the term be extended or reduced by more than one year.

Article 27 The meeting of the Council can only be convened if at least 2/3 of its members are present, and its resolutions are effective only if approved by more than 1/2 of the Council members present.

The following matters are effective only if approved by more than 2/3 of the Council members present:

(1) Removal of Standing Council members;

(2) Removal of officers;

(3) Proposal for a name change;

(4) Proposal for amendments to the Constitution;

(5) Proposal for the dissolution of WAYS.

Article 28 Council members shall attend the meeting of the Council in person. If a Council member is unable to attend the meeting for any reason, the institutional member may authorize its employee or another Council member, or the individual member may authorize another Council member, in writing as a proxy to attend the meeting. The proxy shall exercise the functions and powers of the Council member within the authority scope specified in the authorization letter. Each Council member can only accept one authorization.

A Council member who fails to attend the meeting of the Council for two consecutive times, or a total of three times in each term without justifiable reasons will automatically lose the qualification as a Council member.

Article 29 The Council shall meet at least once a year. In exceptional circumstances, meetings may be held by communication means. Except for video conference, the meeting held by other communication means cannot decide on the following matters:

(1) Adjustment of officers.

Article 30 An extraordinary meeting of the Council shall be convened upon proposal of the Standing Council, the Chairperson, more than 1/5 of the Council members or the Board of Supervisors.

The extraordinary meeting of the Council is convened and presided over by the Chairperson. If the Chairperson cannot convene and preside over the extraordinary meeting of the Council, it shall be convened and presided over by one officer of WAYS elected by the Standing Council, the proposing Council members, or the Board of Supervisors.

Section 3 Standing Council

Article 31 WAYS shall establish a Standing Council. When the Council is not in session, the Standing Council exercises the functions and powers of the Council set forth in Items 1, 6, 7, 8, 9, 10, 11, 12, 13 and 14 of Article 25, and is accountable to the Council.

Article 32 Standing Council members shall be elected by the Council from Council members by secret ballot, and their number shall generally not exceed 1/3 of the total number of Council members. Standing Council members are elected based on the majority of votes received, but the number of votes received by the elected candidate shall not be less than 1/2 of the total number of votes.

The Standing Council shall serve the same term of office as the Council and shall be elected concurrently with it.

Article 33 The meeting of the Standing Council can only be convened if at least 2/3 of its members are present, and its resolutions are effective only if approved by more than 1/2 of the Standing Council members present.

A Standing Council member who fails to attend the meeting of the Standing Council for two consecutive times, or a total of three times in each term without justifiable reasons will automatically lose the qualification as a Standing Council member.

Article 34 The Standing Council shall meet at least once every six months. In exceptional circumstances, meetings may be held by communication means.

Article 35 An extraordinary meeting of the Standing Council shall be convened upon proposal of the Chairperson, more than 1/3 of the Standing Council members or the Board of Supervisors.

The extraordinary meeting of the Standing Council is convened and presided over by the Chairperson. If the Chairperson cannot convene and preside over the extraordinary meeting of the Standing Council, it shall be convened and presided over by one officer of WAYS elected by the proposing Standing Council members, or the Board of Supervisors.

Section 4 Officers

Article 36 The officers of WAYS include one Chairperson, no more than 20 Vice-Chairpersons and one Secretary-General.

Article 37 The officers of WAYS shall meet the following conditions:

(1) Possess relevant professional knowledge, experience, and capabilities, be familiar with the business areas of WAYS, and have significant influence in such areas;

(2) Abide by laws and regulations, and be able to faithfully and diligently perform duties;

(3) Be in good health and able to perform duties normally; in case of the Secretary-General, work on a full-time basis and be a Chinese national;

(4) Have full civil capacity;

(5) Not fall under any circumstances prohibited by Chinese laws, regulations, or relevant state provisions from holding the position.

If the officer no longer meets the qualifications for the position during his/her term of office, he/she shall be removed from office in accordance with the procedures.

The positions of Chairperson and Secretary-General cannot be held by the same person.

Article 38 The Chairperson, Vice-Chairpersons and Secretary-General shall be elected from Standing Council members.

Officers shall be elected by secret ballot based on the number of votes received, but the number of votes received by the elected candidate shall not be less than 1/2 of the total number of votes.

Article 39 The term of office of officers of WAYS is the same as that of the Council. In principle, the same position shall not be held for more than two consecutive terms. If the term of office needs to be extended due to special circumstances, it shall be approved by 2/3 of the Council members, submitted to the Supervisory Authority for review and approval, and then reported to the Registration Authority for record-filing.

Article 40 The legal representative of WAYS shall be an officer of Chinese nationality. The legal representative is authorized to sign pertinent important documents on behalf of WAYS.

The legal representative of WAYS may not concurrently serve as the legal representative of any other social organization.

Article 41 If the officer who serves as the legal representative is dismissed or resigns, WAYS shall, within 20 days after deciding on the new legal representative in accordance with the procedures, report the matter to the Supervisory Authority for review and approval, and apply to the Registration Authority for change registration.

If the original legal representative does not or is unable to cooperate in handling the change registration of legal representative, WAYS may apply for the change registration based on a valid resolution on change approved by the Council signed by the new legal representative. This application shall be submitted to the Supervisory Authority for approval and then to the Registration Authority.

Article 42 The Chairperson shall perform the following duties:

(1) Convene and preside over the General Assembly of Member Representatives, and meetings of the Council and the Standing Council;

(2) Oversee the implementation of resolutions of the General Assembly of Member Representatives, the Council, and the Standing Council;

(3) Report on work progress to the General Assembly of Member Representatives, the Council, and the Standing Council;

(4) Be responsible for the overall work of WAYS.

The Chairperson shall report on his/her work to the Council annually.

If the Chairperson is unable to perform the duties, the Council or Standing Council shall elect a Vice-Chairperson to perform the duties on his/her behalf. If the Vice-Chairperson is unable to perform the duties, the Supervisory Authority may designate an officer to perform the duties on his/her behalf.

Article 43 The Secretary-General shall perform the following duties:

(1) Coordinate the work of institutions;

(2) Organize executive bodies to carry out daily work;

(3) Nominate candidates for Vice Secretary-General and heads of affiliated institutions, and submit them to the Council or Standing Council for decision;

(4) Decide on the employment of full-time employees;

(5) Draft the annual work report and work plan, and submit them to the Council for review;

(6) Draft the annual financial budget and final accounts report, and submit them to the Council for review;

(7) Handle other daily affairs.

Article 44 Minutes and records shall be prepared for the General Assembly of Member Representatives and meetings of the Council, the Standing Council and the Board of Supervisors. When a resolution is made at a meeting, a written resolution shall be prepared. The resolutions of the Council, the Standing Council, and the Board of Supervisors shall also be confirmed by the attending members. Minutes, records, and resolutions shall be available for members' inquiry and kept for at least 30 years.

Changes in Council members, Standing Council members, officers, and supervisors shall be communicated to members in a timely manner through appropriate means.

Section 5 Board of Supervisors

Article 45 WAYS shall establish a Board of Supervisors, which shall consist of no more than nine supervisors. The Board of Supervisors shall have one chairman, elected by the Board of Supervisors.

The term of office of supervisors is the same as that of Council members. Supervisors may be re-elected upon expiration.

The chairman and vice-chairman of the Board of Supervisors may serve no more than two consecutive terms. The chairman of the Board of Supervisors shall be a Chinese national.

The Supervisory Authority may assign supervisors to WAYS for supervision and guidance as needed.

Article 46 The supervisors of WAYS shall not concurrently hold a position as an officer or a Council member, head of an affiliated institutions, financial management person or employee, or be a close relative of any of the aforementioned persons or be from the same work entity as any of them. Supervisors may not hold other positions within WAYS.

Article 47 The Board of Supervisors shall exercise the following functions and powers:

(1) Attend meetings of the Council and the Standing Council as a nonvoting delegate, and raise inquiries or suggestions regarding resolutions;

(2) Supervise the performance by Council members, Standing Council members, and officers of duties in WAYS, require them to submit reports on their performance on duties, and propose dismissal recommendations for those who seriously violate the Constitution of WAYS or resolutions of the General Assembly of Member Representatives;

(3) Check the financial reports of WAYS, and report the work of the Board of Supervisors and propose suggestions to the General Assembly of Member Representatives;

(4) Require officers, Council members, Standing Council members, and financial management persons to promptly correct their actions that harm the interests of WAYS;

(5) Report issues encountered in the work of WAYS to the Supervisory Authority, Registration Authority, and tax and accounting authorities;

(6) Decide on other matters that shall be reviewed by the Board of Supervisors.

The Board of Supervisors shall meet at least once every six months. The meeting of the Board of Supervisors can only be convened if at least 2/3 of supervisors are present, and its resolutions are effective only if approved by more than 1/2 of the supervisors present.

Article 48 Supervisors shall abide by relevant Chinese laws, regulations and the Constitution, and perform their duties faithfully and diligently.

Article 49 The Board of Supervisors may investigate the activities of WAYS; when necessary, the Board of Supervisors may hire accounting firms to assist in its work. WAYS shall provide the necessary conditions for the Board of Supervisors to exercise its functions and powers, and bear the costs necessary for such exercise.

Section 6 Branches and Representative Offices

Article 50 Based on work needs, WAYS may establish branches and representative offices within its purpose and business scope.

Branches and representative offices are components of WAYS, and carry out activities within the scope authorized by WAYS, with legal liability borne by WAYS. Branches are established based on the characteristics of member composition, business categories, and other factors. Representative offices are authorized by WAYS to conduct liaison, communication, research, and other activities outside the domicile of WAYS.

Article 51 If WAYS establishes branches or representative offices in China, they shall be managed in accordance with relevant Chinese regulations.

Article 52 If WAYS establishes branches or representative offices abroad, it shall be reviewed by the Council or the Standing Council and then reported to the Supervisory Authority or the entity responsible for foreign affairs management for approval.

Article 53 When carrying out activities, the branches and representative offices of WAYS shall abide by the laws and regulations of China and other countries or regions where the activities are carried out, and respect local customs and habits.

Section 7 Internal Management Regulations and Dispute Resolution Mechanism

Article 54 WAYS shall establish and improve internal management regulations and procedures, specifically including:

(1) Member management measures;

(2) Membership fee management measures;

(3) Financial management regulations;

(4) Asset management regulations;

(5) Internal control regulations;

(6) Personnel assessment and remuneration management regulations.

Article 55 The remuneration management regulations established by WAYS shall be announced within an appropriate scope and subject to democratic supervision.

Article 56 WAYS shall prepare a list of members, Council members, Standing Council members and officers, and shall properly keep certificates, seals, files, documents and other items and materials at its domicile. No entity or individual may illegally appropriate them. When relevant employees are transferred or leave their positions, they shall complete the handover procedures with the personnel taking over their duties.

Article 57 When any certificate or seal of WAYS is lost, upon approval by more than 2/3 of the Council members, a statement of loss shall be published in publicly available newspapers, and an application shall be made for re-issuance or engraving in accordance with the regulations. If such certificate or seal is illegally appropriated by an individual, it shall be reclaimed through legal channels.

Article 58 WAYS shall establish and improve information disclosure regulations, and disclose necessary information to its members and the public in a timely manner.

Article 59 WAYS shall establish a democratic consultation and internal dispute resolution mechanism. If internal disputes cannot be resolved through negotiation, they can be addressed through mediation, litigation, or other means in accordance with Chinese laws and regulations.

Chapter V Finance and Asset Management Principles

Article 60 The sources of income of WAYS shall include:

(1) Membership fees;

(2) Donations;

(3) Income derived from activities and services carried out within the approved scope of operations;

(4) Interest;

(5) Other lawful income.

Article 61 WAYS shall establish and collect membership fees in accordance with the relevant regulations of the People’s Republic of China.

Article 62 All income of WAYS, except for reasonable expenditures related to its operations, shall be used exclusively for the purposes prescribed in this Constitution.

Article 63 WAYS shall, in compliance with the Accounting Law of the People’s Republic of China, the Accounting System for Private Non-Profit Organizations, and other relevant laws and regulations, establish and improve its financial management system, appoint qualified accounting personnel, and implement accounting supervision in accordance with the law.

Article 64 WAYS’s asset management shall be conducted in accordance with the asset and financial management systems stipulated by the State, and shall be subject to the supervision of the General Assembly of Member Representatives and the competent authorities.

Article 65 Any major allocation, use, or disposal of assets of WAYS shall be deliberated upon and approved by the General Assembly of Member Representatives or the Council.

Article 66 Where any officer, Council member, Standing Council member, or relevant individual breaches the duty of loyalty and diligence, causing loss to WAYS, such individual shall bear personal liability in accordance with applicable regulations.

Article 67 Prior to the change of term of office or the replacement of the legal representative, WAYS shall conduct a financial audit.

Article 68 All assets of WAYS and any appreciation thereof shall belong to WAYS. No organization or individual may occupy, misappropriate, or privately divide such assets, nor may they be distributed among the members.

Article 69 WAYS shall practice thrift, minimize unnecessary expenditures, and make full and efficient use of its property.

Chapter VI Procedures for Amendments to the Constitution

Article 70 Amendments to this Constitution shall be deliberated and adopted by the Council and then submitted to the General Assembly of Member Representatives for consideration.

Article 71 Amendments to this Constitution shall, after being adopted by more than two-thirds of the member representatives present at the General Assembly of Member Representatives, be submitted within thirty (30) days to the Supervisory Authority for review and consent, and shall take effect upon approval by the Registration Authority.

Chapter VII Termination Procedures and Disposal of Assets After Termination

Article 72 A proposal for the termination of WAYS shall be made by the Council or the Standing Council and submitted to the General Assembly of Member Representatives for deliberation and approval.

Article 73 Prior to termination, WAYS shall, under the guidance of the Supervisory Authority, establish a liquidation committee in accordance with the law to settle claims and debts and handle all related matters. During the liquidation period, no activities other than liquidation shall be carried out.

Article 74 Any remaining assets of WAYS after liquidation shall, under the supervision of the Supervisory Authority and the Registration Authority, be used for undertakings consistent with the purposes of WAYS or be donated to social organizations with similar objectives that are duly registered in China, in accordance with the relevant provisions of the State.

Article 75 WAYS shall be deemed dissolved upon completion of the deregistration formalities with the Registration Authority.

Chapter VIII Working Languages

Article 76 The working languages of WAYS shall be Chinese and English. In the event of any discrepancy or ambiguity, the Chinese version shall prevail.

Chapter IX Supplementary Provisions

Article 77 This Constitution was adopted by the First Session of the 3rd General Assembly on December 30, 2025.

Article 78 The right of interpretation of this Constitution shall reside in the Council of WAYS.

Article 79 This Constitution shall take effect upon approval and registration by the Registration Authority.
